Barbara Kommer, a spokeswoman for Palo Alto-based Hewlett-Packard, said the amendments were proposed “to make it more difficult for an unsolicited bid for the company.” The first amendment that shareholders will be asked to approve would increase the authorized number of common shares and create a preferred stock series, Kommer said.
