TRW Completes $975-Million BDM Buy

TRW Inc. completed its $975-million acquisition of BDM International Inc., after agreeing to sell one of BDM’s businesses to gain antitrust clearance for the transaction. TRW agreed in November to buy McLean, Va.-based BDM for $29.50 a share to expand its government information and commercial services businesses. In a negotiated settlement with the Federal Trade Commission, the Cleveland-based company agreed to sell part of a BDM business that provides engineering services and technical assistance to the Defense Department’s ballistic missile defense program. In that role, BDM helps assess bids from other companies. TRW is one of several firms bidding on one of those contracts. BDM shares rose 6 cents to close at $29.50 on Nasdaq; TRW shares fell 13 cents to close at $52.75 on the NYSE.
